Terms Overview
These Terms of Service ("Terms") are a legally binding agreement between you and Nobel Gemini Ventures, DBA Kurbside ("Kurbside," "we," "us," or "our") governing your access to and use of the website gokurbside.com, rider-facing mobile applications, and any services through which you can book airport transfers in the Los Angeles and Orange County areas with independent drivers (collectively, the "Platform" and "Services"). By accessing or using the Platform, you agree to be bound by these Terms.
Eligibility and Accounts
You must be at least 18 years of age to create an account or use the Services, and by registering you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current information and to promptly update it as needed, and you must notify us immediately of any unauthorized use of your account or security breach.
Nature of the Marketplace
Kurbside operates a marketplace that connects riders with independent drivers who provide transportation services; Kurbside itself does not own or operate vehicles and does not provide transportation services as a carrier. Drivers are independent contractors and not employees, agents, or representatives of Kurbside, and Kurbside does not control the manner in which they provide transportation services. We set prices for rides offered through the Platform, and we facilitate the matching of riders and drivers and the processing of payments through third-party payment processors.
Rider Services and Bookings
When you request a ride through the Platform, you authorize Kurbside to match you with an independent driver based on factors such as pickup location, drop-off destination, time, driver availability, and other criteria. Once a booking is confirmed, you will receive trip details including approximate pickup time and driver information, and you agree to be present at the pickup location at the scheduled time. You understand that ride times and availability may be affected by traffic, weather, airport conditions, and other factors beyond Kurbside's control, and estimated times are not guaranteed.
Pricing, Payments, and Fees
Ride prices are displayed on the Platform before you confirm your booking and may depend on distance, time, location, demand, and other variables. By confirming a booking, you authorize Kurbside (through Stripe or other designated payment processors) to charge your selected payment method for the applicable fare, fees, taxes, surcharges, and any additional amounts disclosed at the time of booking. Charges may also include cancellation fees, no-show fees, tolls, parking fees, and other costs incurred in completing your trip when disclosed or reasonably expected. You agree that Kurbside may adjust charges in case of errors, disputes, or misuse, and that we may issue credits or refunds at our discretion.
Cancellations, No-Shows, and Refunds
We may provide a standard cancellation policy, such as permitting free cancellations within a specified window (for example, up to a certain number of hours before pickup) and charging a cancellation fee for late cancellations. If you are not present at the pickup location within a reasonable time after the scheduled pickup, the trip may be treated as a no-show and subject to a no-show fee. Refunds and credits, if any, will be governed by our posted cancellation and refund rules on the Platform, which may vary by market, time, or type of service. You acknowledge that drivers incur costs and commit time to fulfill bookings, and that reasonable cancellation and no-show fees may be charged to compensate for such commitments.
Rider Conduct and Responsibilities
You agree to comply with all applicable laws and regulations during your use of the Services and during rides, and you must treat drivers and others with respect and refrain from abusive, discriminatory, or unsafe behavior. You may not smoke, use illegal substances, or engage in conduct that endangers the driver, vehicle, or other persons, and you are responsible for any damage you cause to a driver's vehicle or property. Kurbside and drivers reserve the right to refuse service or terminate rides if rider conduct is unsafe, unlawful, or violates these Terms, and you may be charged for any damage fees or cleaning fees reasonably necessary to remedy your actions.
Driver Eligibility and Obligations
Drivers participating in the Kurbside marketplace are independent contractors who must meet our eligibility requirements, including maintaining a valid driver's license, insurance, and vehicle registration, and passing any required background checks and compliance reviews. Drivers are responsible for operating their vehicles safely, complying with applicable laws, maintaining their vehicles in good condition, and treating riders respectfully and professionally. Drivers must use our driver-facing applications to accept and manage ride requests and must comply with our driver policies and any separate driver agreements that govern their relationship with Kurbside.
Relationship with Drivers (Independent Contractor)
Nothing in these Terms or in any driver-related documentation is intended to create an employment, agency, joint venture, or partnership relationship between Kurbside and drivers. Drivers are free to decide when and where to provide services, subject to Platform availability and policies, and are responsible for their own taxes, expenses, and obligations. Kurbside does not guarantee any minimum number of trips or income to drivers and does not supervise their day-to-day operations beyond Platform rules and marketplace standards.
Platform Use and Restrictions
You agree not to use the Platform in any way that could damage, disable, overburden, or impair our systems or interfere with any other party's use of the Services. You may not attempt to gain unauthorized access to accounts, servers, or networks associated with the Platform, nor may you reverse engineer, decompile, or attempt to derive the source code of our software. You must not use the Platform to send spam, fraudulent requests, or any content that is unlawful, harmful, or infringing on the rights of others.
Disclaimers
Kurbside provides access to the Platform and Services on an "as is" and "as available" basis and makes no representations or warranties of any kind, express or implied, regarding the reliability, timeliness, quality, suitability, safety, or availability of the Services or the transportation services provided by drivers. We do not guarantee uninterrupted or error-free operation of the Platform, and delays or cancellations may occur due to traffic, weather, accidents, airport or security conditions, or other events beyond our control. You acknowledge that using the Services involves inherent risks, and you agree to assume responsibility for those risks.
Limitation of Liability
To the maximum extent permitted by law, Kurbside's total liability to you in connection with the Platform, Services, and any transportation services provided through the marketplace will be limited to the amount you paid for the specific booking or service giving rise to the claim. Kurbside will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, or loss of goodwill, even if we have been advised of the possibility of such damages. Certain jurisdictions may not allow the exclusion or limitation of certain damages, so these limitations may apply only to the extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Kurbside, its affiliates, officers, directors, employees, and agents from and against any claims, demands, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Platform or Services; your violation of these Terms; your violation of any rights of third parties; or your misconduct or negligence in connection with rides or interactions with drivers.
Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services will be resolved by binding arbitration administered by a recognized arbitration provider (such as the American Arbitration Association) in Los Angeles County, California, except where prohibited by law. You and Kurbside agree to waive any right to a trial by jury and to participate in a class action, class arbitration, or representative proceeding, and disputes will be resolved on an individual basis. The arbitrator will apply California law and will have authority to award relief only to the extent necessary to resolve individual claims between you and Kurbside.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. To the extent any dispute is determined not to be subject to arbitration, you agree that the exclusive jurisdiction and venue will be the state and federal courts located in Los Angeles County, California.
Changes to Terms
We may modify these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will post the updated Terms on gokurbside.com and update the "Last Updated" date at the top. Your continued access or use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.
Termination
We may suspend or terminate your access to the Platform or Services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or harmful behavior, or if we discontinue the Platform or Services in whole or in part. You may also terminate your account at any time by following the instructions provided on the Platform. Sections of these Terms that by their nature should survive termination (such as limitations of liability, dispute resolution, and indemnification) will continue to apply.
